Terms of Service

IMPORTANT — PLEASE READ CAREFULLY

These Terms of Service contain a binding arbitration clause, a class action waiver, limitations of liability, indemnification obligations, and warranty disclaimers. By accessing or using GoRoute.ai, you acknowledge that you have read, understood, and agree to be bound by all of these Terms. If you do not agree, do not use the Service.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer", "you", or "your") and ClayDesk LLC, a Delaware limited liability company, operating as GoRoute.ai ("GoRoute", "Company", "we", "us", or "our"), governing your access to and use of the GoRoute.ai platform, website, APIs, documentation, and all related services (collectively, the "Service").

By creating an account, accessing, or using any part of the Service, you represent and warrant that: (a) you have read and understood these Terms; (b) you have the legal capacity and authority to enter into a binding agreement; (c) you are at least 18 years of age; and (d) if acting on behalf of an entity, you have the authority to bind that entity to these Terms.

If you do not agree to all of these Terms, you are expressly prohibited from using the Service and must discontinue use immediately.

2. Description of Services

GoRoute.ai provides certified Peppol Access Point services for electronic document exchange, including but not limited to:

  • Electronic document exchange via the Peppol network (AS4 protocol)
  • Service Metadata Publisher (SMP) registration and management
  • Document validation against EN16931, Peppol BIS 3.0, and applicable national CIUS standards
  • REST API for programmatic document submission, retrieval, and management
  • Webhook notifications for document delivery and status events
  • Multi-tenant organization and participant management
  • Dashboard and portal interfaces for document management

GoRoute.ai is a certified Peppol Access Point operated by ClayDesk LLC under Peppol Authority certification number POP000991.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration and Security

3.1 Eligibility

The Service is intended for use by businesses, organizations, and their authorized representatives. You must be at least 18 years old and have the legal authority to bind the entity you represent. By registering, you represent and warrant that all registration information you submit is truthful and accurate.

3.2 Account Information

You agree to provide accurate, current, and complete information during registration and to promptly update such information to keep it accurate. Providing inaccurate, incomplete, or misleading information constitutes a breach of these Terms and may result in immediate termination of your account.

3.3 Account Security

You are solely responsible for maintaining the confidentiality and security of your account credentials, including API keys, passwords, and access tokens. You are fully responsible for all activities that occur under your account, whether or not authorized by you. You must immediately notify us at admin@goroute.ai of any unauthorized use of your account or any other breach of security.

We shall not be liable for any loss or damage arising from your failure to protect your account credentials or from any unauthorized access to your account.

4. API Access and Usage

4.1 API Keys

Access to the Service API requires authentication via API keys issued to your account. API keys are confidential credentials. You must not share, publish, embed in client-side code, or otherwise expose your API keys. You are liable for all API calls made using your keys, regardless of whether you authorized them.

4.2 Rate Limits and Quotas

We may impose rate limits, usage quotas, or other technical restrictions on your use of the API. These limits may change at any time. Exceeding rate limits may result in temporary or permanent suspension of API access. You agree not to circumvent, bypass, or attempt to override any rate limits or technical restrictions.

4.3 API Modifications

We reserve the right to modify, deprecate, or discontinue API endpoints, parameters, response formats, or functionality at any time. While we will endeavor to provide reasonable notice of material API changes, we are under no obligation to maintain backward compatibility or to support any particular API version indefinitely.

5. Acceptable Use Policy

You agree that you will not, and will not permit any third party to:

  • Violate any applicable local, state, national, or international laws, regulations, or Peppol network policies
  • Transmit fraudulent, misleading, false, or illegally obtained documents through the Service
  • Attempt to gain unauthorized access to our systems, networks, or other users' accounts
  • Interfere with, disrupt, or degrade the integrity, performance, or availability of the Service
  • Use the Service to transmit malware, viruses, trojans, worms, or other harmful or malicious code
  • Reverse engineer, decompile, disassemble, decrypt, or otherwise attempt to derive the source code of any part of the Service
  • Exceed imposed rate limits, abuse API access, or engage in automated scraping of the Service
  • Resell, sublicense, redistribute, or provide access to the Service to third parties without our prior written authorization
  • Use the Service for any purpose that is competitive with or harmful to GoRoute.ai
  • Remove, alter, or obscure any proprietary notices, labels, or markings on the Service
  • Use the Service to process or transmit documents containing content that violates any applicable data protection laws
  • Impersonate any person or entity, or falsely state or misrepresent your affiliation with any person or entity
  • Use the Service to engage in money laundering, terrorism financing, sanctions evasion, or any other financial crime

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account without notice or refund, and may be reported to the appropriate legal authorities.

6. Fees and Payment

Certain features or tiers of the Service may require payment of fees. Any applicable fees, charges, billing terms, and payment conditions will be set forth in a separate written agreement, order form, or as published on our website at the time of purchase.

We reserve the right to introduce, modify, or discontinue fee structures at any time. If fees are introduced for features you are currently using at no charge, we will provide at least thirty (30) days' advance notice before such fees take effect. Your continued use of the Service after fee changes become effective constitutes acceptance of the updated fees.

Unless otherwise specified in a separate agreement, all fees are non-refundable. Failure to pay applicable fees when due may result in suspension or termination of your access to the Service.

7. Peppol Network Compliance

As a user of a Peppol Access Point, you acknowledge and agree to the following obligations:

  • Register only valid, legally obtained Peppol participant identifiers that you are authorized to use
  • Submit only properly formatted documents that are compliant with applicable Peppol specifications and standards
  • Maintain accurate and up-to-date participant information in the Service Metadata Publisher (SMP)
  • Comply with all applicable Peppol policies, guidelines, and inter-agreement requirements as published by OpenPeppol AISBL
  • Cooperate fully with any Peppol Authority audits, investigations, or compliance reviews
  • Not use the Peppol network for purposes inconsistent with its intended use as an e-procurement and e-invoicing infrastructure

You acknowledge that GoRoute.ai is subject to oversight by the Peppol Authority and that we may be required to suspend your access, remove your participant registrations, or take other actions as directed by the Peppol Authority. We shall not be liable for any loss or damage resulting from compliance with Peppol Authority directives.

8. Data Ownership, Processing, and Security

8.1 Your Data

You retain all ownership rights to documents, data, and content you submit through the Service ("Customer Data"). You grant us a limited, non-exclusive, worldwide license to use, process, store, and transmit Customer Data solely as necessary to provide, maintain, and improve the Service. We will not sell, rent, or otherwise commercially exploit your Customer Data.

8.2 Data Processing and GDPR

For customers subject to the General Data Protection Regulation (GDPR) or other applicable data protection laws, we act as a data processor with respect to document content transmitted through the Service. You act as the data controller and are responsible for ensuring that you have a lawful basis for processing any personal data contained in documents you submit. A Data Processing Agreement (DPA) is available upon request and, where applicable, is incorporated by reference into these Terms.

8.3 International Data Transfers

The Service is hosted on infrastructure in the United States and may involve the processing and storage of data in jurisdictions outside your country of residence. By using the Service, you consent to the transfer of your data to the United States and other jurisdictions where we or our service providers operate. We implement appropriate safeguards, including standard contractual clauses where applicable, to protect data transfers.

8.4 Data Retention

We retain transaction data and document metadata for a minimum of seven (7) years in compliance with Peppol requirements and applicable tax regulations. We may retain certain data beyond this period as required by law, regulation, or litigation hold obligations.

8.5 Data Security

We implement industry-standard administrative, technical, and physical safeguards designed to protect Customer Data. However, no method of electronic transmission or storage is 100% secure. You acknowledge and agree that we cannot guarantee absolute security and shall not be liable for any unauthorized access to or breach of Customer Data, except to the extent directly caused by our gross negligence or willful misconduct.

8.6 Your Security Responsibilities

You are solely responsible for implementing appropriate security measures for your systems, applications, and integrations that connect to the Service, including but not limited to secure storage of API keys, use of TLS/HTTPS for all API communications, and maintaining up-to-date software and security patches.

9. Confidentiality

Each party agrees to maintain in confidence all non-public information disclosed by the other party that is designated as confidential or that reasonably should be understood to be confidential ("Confidential Information"). Confidential Information includes, without limitation, API keys, account credentials, business processes, technical specifications, pricing terms, and Customer Data.

Neither party shall disclose Confidential Information to any third party except: (a) to employees, contractors, or agents who need access and are bound by confidentiality obligations no less restrictive than these Terms; (b) as required by applicable law, regulation, or court order, provided the disclosing party gives reasonable prior notice where permitted; or (c) with the prior written consent of the disclosing party. The confidentiality obligations survive termination of these Terms for a period of three (3) years.

10. Intellectual Property

10.1 Our Intellectual Property

All intellectual property rights in and to the Service, including but not limited to software, source code, algorithms, user interfaces, documentation, APIs, trademarks, trade names, logos, domain names, trade secrets, and all derivative works thereof, are and shall remain the exclusive property of ClayDesk LLC. These Terms grant you no rights to our intellectual property except the limited, non-exclusive, non-transferable, revocable right to access and use the Service in accordance with these Terms.

10.2 Feedback

If you provide any suggestions, ideas, enhancement requests, feedback, or recommendations regarding the Service ("Feedback"), you hereby assign to us all rights, title, and interest in such Feedback. We may use, implement, and exploit Feedback without restriction, attribution, or compensation to you.

10.3 Usage Data

We may collect and use anonymized, aggregated usage data and analytics derived from your use of the Service for purposes of improving, developing, and marketing the Service. Such aggregated data shall not identify you or any individual and shall be our sole property.

11. Third-Party Services and Integrations

The Service may integrate with, rely upon, or provide links to third-party services, networks, and platforms, including but not limited to the Peppol network infrastructure, AWS cloud services, certificate authorities, and SML/SMP directories ("Third-Party Services").

We do not control, endorse, or assume responsibility for any Third-Party Services. Your use of Third-Party Services is at your sole risk and subject to their respective terms and conditions. We shall not be liable for any loss, damage, or disruption caused by Third-Party Services, including but not limited to: Peppol network outages, certificate revocations, third-party Access Point failures, cloud infrastructure incidents, or changes to third-party APIs or protocols.

You acknowledge that successful document delivery depends on factors outside our control, including the receiving Access Point's availability, the recipient's SMP configuration, and Peppol network conditions.

12. Service Availability

We strive to maintain high availability of the Service but do not guarantee uninterrupted, error-free, or continuous access. The Service may be temporarily unavailable due to scheduled maintenance, upgrades, emergency patches, security incidents, or circumstances beyond our control.

We will endeavor to provide reasonable advance notice of planned maintenance windows when practicable. We shall not be liable for any loss, damage, or inconvenience arising from service interruptions, regardless of cause or duration.

Any uptime commitments, service level objectives, or service credits, if applicable, will be set forth in a separate Service Level Agreement entered into between you and GoRoute.ai. In the absence of such a separate agreement, the Service is provided on a commercially reasonable efforts basis without any specific uptime guarantees.

13. Beta Services and Pre-Release Features

From time to time, we may offer beta, preview, early access, or pre-release features ("Beta Services"). Beta Services are provided "AS IS" and "AS AVAILABLE" without any warranties or commitments of any kind. We may modify, suspend, or discontinue Beta Services at any time without notice.

You acknowledge that Beta Services may contain bugs, errors, or incomplete functionality and that your use of Beta Services is at your sole risk. We shall have no liability of any kind arising from your use of Beta Services. Any feedback you provide regarding Beta Services shall be treated as Feedback under Section 10.2.

14. DISCLAIMER OF WARRANTIES

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. WE EXPRESSLY DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT;
  • WARRANTIES ARISING FROM COURSE OF DEALING, USAGE, OR TRADE PRACTICE;
  • WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, TIMELY, SECURE, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS;
  • WARRANTIES THAT THE RESULTS OBTAINED FROM USE OF THE SERVICE WILL BE ACCURATE, RELIABLE, OR COMPLETE;
  • WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF ANY VALIDATION, COMPLIANCE CHECK, OR DOCUMENT PROCESSING PERFORMED BY THE SERVICE;
  • WARRANTIES THAT DOCUMENTS WILL BE SUCCESSFULLY DELIVERED TO OR RECEIVED FROM THIRD-PARTY ACCESS POINTS ON THE PEPPOL NETWORK.

WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR EXPECTATIONS. WE ARE NOT RESPONSIBLE FOR THE ACTS OR OMISSIONS OF THIRD PARTIES, INCLUDING OTHER PEPPOL ACCESS POINTS, CERTIFICATE AUTHORITIES, CLOUD INFRASTRUCTURE PROVIDERS, OR THE PEPPOL NETWORK INFRASTRUCTURE.

YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR VERIFYING THE ACCURACY AND COMPLIANCE OF ALL DOCUMENTS SUBMITTED THROUGH THE SERVICE AND FOR MAINTAINING INDEPENDENT RECORDS AS REQUIRED BY APPLICABLE LAW.

15. LIMITATION OF LIABILITY

15.1 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GOROUTE.AI, CLAYDESK LLC, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, SUCCESSORS, OR ASSIGNS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO: LOSS OF PROFITS, REVENUE, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR ANTICIPATED SAVINGS; COST OF PROCUREMENT OF SUBSTITUTE SERVICES; DAMAGES ARISING FROM BUSINESS INTERRUPTION, SYSTEM FAILURE, OR DOCUMENT DELIVERY FAILURE; OR ANY OTHER PECUNIARY LOSS, WHETHER ARISING OUT OF CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

15.2 Cap on Liability

OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS, THE SERVICE, OR YOUR USE THEREOF SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNTS YOU HAVE ACTUALLY PAID TO US IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (USD $100.00).

15.3 Essential Basis

THE LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION ARE AN ESSENTIAL ELEMENT OF THE BASIS OF THE BARGAIN BETWEEN YOU AND GOROUTE.AI. THE SERVICE WOULD NOT BE PROVIDED WITHOUT SUCH LIMITATIONS. THESE LIMITATIONS APPLY REGARDLESS OF WHETHER THE ALLEGED BREACH IS A BREACH OF A FUNDAMENTAL TERM OR A FUNDAMENTAL BREACH.

15.4 Jurisdictional Limitations

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by applicable law. Nothing in these Terms shall exclude or limit liability that cannot be excluded or limited under applicable law (such as liability for fraud or death/personal injury caused by negligence).

16. Indemnification

You agree to indemnify, defend, and hold harmless GoRoute.ai, ClayDesk LLC, and their respective officers, directors, employees, agents, affiliates, successors, and assigns (collectively, "Indemnified Parties") from and against any and all claims, demands, actions, suits, proceedings, losses, damages, liabilities, costs, and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to:

  • Your use or misuse of the Service
  • Your breach of any provision of these Terms
  • Your violation of any applicable law, regulation, or Peppol network policy
  • Your infringement or misappropriation of any third party's intellectual property, privacy, or other rights
  • The content, accuracy, or legality of any documents you submit through the Service
  • Any tax, regulatory, or compliance obligations arising from your electronic document transactions
  • Any claim by a third party arising from documents transmitted on your behalf through the Service
  • Your failure to maintain adequate security of your account credentials, API keys, or systems

We reserve the right, at your expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which event you agree to cooperate fully with our defense. This indemnification obligation shall survive the termination of these Terms.

17. Termination

17.1 Termination by You

You may terminate your account at any time by contacting us at admin@goroute.ai or through your account settings if such functionality is available.

17.2 Termination by Us

We may suspend or terminate your account and access to the Service immediately, without prior notice or liability, for any reason, including but not limited to: (a) breach of these Terms; (b) suspected fraudulent, abusive, or illegal activity; (c) a request or directive from the Peppol Authority or any law enforcement or regulatory body; (d) extended periods of account inactivity; (e) non-payment of applicable fees; or (f) discontinuation of the Service in whole or in part.

17.3 Effect of Termination

Upon termination of your account: (a) your right to access and use the Service ceases immediately; (b) all licenses granted to you under these Terms terminate; (c) we may deregister your Peppol participant identifiers from the SMP; (d) we shall have no obligation to maintain or provide your data, except as required by applicable law or regulation.

You may request an export of your data within thirty (30) days of termination by contacting admin@goroute.ai. After thirty (30) days, we reserve the right to delete your data, except where retention is required by law.

17.4 Survival

The following provisions shall survive termination of these Terms: Sections 6 (Fees and Payment, to the extent of any outstanding obligations), 8 (Data Ownership, Processing, and Security), 9 (Confidentiality), 10 (Intellectual Property), 14 (Disclaimer of Warranties), 15 (Limitation of Liability), 16 (Indemnification), 17.3 (Effect of Termination), 17.4 (Survival), 19 (Export Compliance), 20 (Dispute Resolution), and 22 (General Provisions).

18. No Professional Advice

The Service provides technical infrastructure for electronic document exchange and validation. Nothing in the Service, our documentation, or any communications from GoRoute.ai constitutes legal, tax, accounting, regulatory, or compliance advice.

You are solely responsible for ensuring that your use of the Service, and all documents transmitted through it, comply with all applicable laws, tax regulations, and industry standards in your jurisdiction and the jurisdictions of your trading partners. We strongly recommend that you consult qualified legal and tax professionals regarding your e-invoicing and regulatory compliance obligations.

19. Export Compliance

The Service may be subject to export control and sanctions laws of the United States and other jurisdictions. You represent and warrant that you are not located in, under the control of, or a national or resident of any country subject to U.S. embargo, and that you are not listed on any U.S. government prohibited or restricted parties list. You agree to comply with all applicable export control and sanctions laws and regulations in connection with your use of the Service.

20. Dispute Resolution and Arbitration

20.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. The United Nations Convention on Contracts for the International Sale of Goods (CISG) shall not apply.

20.2 Binding Arbitration

Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator and shall take place in Wilmington, Delaware, or remotely via videoconference at the arbitrator's discretion. The arbitrator's decision shall be final and binding, and judgment on the award may be entered in any court of competent jurisdiction.

20.3 Class Action Waiver

YOU AND GOROUTE.AI AGREE THAT EACH PARTY MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION OR PROCEEDING. THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A CLASS OR REPRESENTATIVE PROCEEDING.

20.4 Exceptions

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's copyrights, trademarks, trade secrets, patents, or other intellectual property rights.

20.5 Statute of Limitations

You agree that any claim or cause of action arising out of or related to these Terms or the Service must be filed within one (1) year after such claim or cause of action arose, or be permanently barred. This limitation applies regardless of the form of action, whether in contract, tort, or otherwise.

21. Electronic Communications

By creating an account or using the Service, you consent to receive electronic communications from us, including service announcements, administrative messages, technical notices, security alerts, and updates. These communications may be sent via email to the address associated with your account, through in-app notifications, or via our website.

You agree that all agreements, notices, disclosures, and other communications we provide electronically satisfy any legal requirement that such communications be in writing.

22. Modifications to Terms

We reserve the right to modify, amend, or update these Terms at any time at our sole discretion. Material changes will be communicated via email or prominent notice on our website at least thirty (30) days before taking effect. Non-material changes (such as clarifications or formatting changes) may take effect immediately upon posting.

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and terminate your account.

23. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms to the extent such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to: acts of God, natural disasters, epidemics, pandemics, war, terrorism, civil unrest, government actions or sanctions, embargoes, labor disputes, strikes, power outages, internet or telecommunications failures, distributed denial-of-service attacks, cyberattacks, hardware or software failures, changes in applicable law or regulation, Peppol network outages or policy changes, certificate authority revocations, and cloud infrastructure provider outages. The affected party shall use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable.

24. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and GoRoute.ai with respect to the subject matter hereof and supersede all prior or contemporaneous communications, representations, or agreements, whether written or oral.
  • Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable, and the remaining provisions shall continue in full force and effect.
  • No Waiver: The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of the waiving party.
  • Assignment: You may not assign, transfer, or delegate these Terms or any rights or obligations hereunder without our prior written consent. We may freely assign, transfer, or delegate these Terms and our rights and obligations without restriction, including in connection with a merger, acquisition, asset sale, or corporate reorganization. Any attempted assignment in violation of this section shall be null and void.
  • Independent Contractors: The parties are independent contractors. Nothing in these Terms creates a partnership, joint venture, employment, franchise, or agency relationship between the parties.
